Welcome to Intellize LLC ("Intellize," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of intellize.llc, as well as the professional digital engineering, web and mobile development, AI integration, and consulting services provided by Intellize LLC. By accessing our website or retaining our services, you agree to be bound by these Terms.

1. Acceptance of Terms
By accessing intellize.llc or retaining the professional engineering and digital services of Intellize LLC ("Intellize," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must discontinue using our services immediately. If you are entering into these terms on behalf of a corporation or entity, you represent that you hold appropriate authority to bind said entity.
2. Services & Engineering Scope
Intellize provides bespoke digital engineering, web and mobile application development, AI integrations, cloud infrastructure, and product strategy. The specific scope, timeline, milestones, and deliverables for client projects are defined in mutually executed Statements of Work (SOW) or Service Agreements.
3. Intellectual Property & Deliverables
Upon complete payment of all invoiced fees for a project, the client receives full ownership of all custom deliverables, code, designs, and work product developed specifically for the client. Intellize retains ownership of its pre-existing core libraries, frameworks, proprietary tooling, and reusable code modules incorporated into deliverables.
4. Client Responsibilities & Materials
Clients agree to provide timely feedback, approvals, credentials, and API access required for project milestones. Clients represent and warrant that all content, assets, and third-party APIs provided to Intellize do not infringe upon any third-party intellectual property or violate applicable laws.
5. Payment Terms & Milestone Invoicing
All project fees, payment schedules, and milestone breakdowns are set forth in individual project agreements. Invoices are payable within the agreed term from the date of issue. Intellize reserves the right to suspend development or withhold production deployments if milestone invoices remain overdue.
6. Confidentiality & Non-Disclosure
Both parties agree to treat all proprietary business information, source code, data, strategies, and customer materials disclosed during the engagement as strictly confidential. Confidentiality obligations survive the termination or expiration of any project agreement.
7. Warranties & Limitation of Liability
Intellize provides professional engineering services in accordance with prevailing industry standards. Except as expressly provided, our website and materials are provided "as is." In no event shall Intellize LLC be liable for indirect, incidental, punitive, or consequential damages. Aggregate liability shall not exceed the total fees paid by the client under the applicable SOW in the twelve (12) months preceding the claim.
8. Term & Termination
Either party may terminate a project agreement for material breach upon written notice if the breach remains uncured for thirty (30) days. In the event of termination, the client shall pay for all work satisfactorily completed up to the effective termination date.
9. Governing Law, Jurisdiction & Contact
These Terms of Service are governed by and construed in accordance with the laws of Kosovo. Any dispute arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in Prishtinë, Kosovo.
